Terms of Service

IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE BRIDGE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES. THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, A CLASS ACTION WAIVER, AND A BINDING ARBITRATION CLAUSE THAT AFFECT YOUR LEGAL RIGHTS.

1. ACCEPTANCE OF TERMS AND AGREEMENT

1.1 Binding Agreement

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and The Bridge Placement Network Inc. ("The Bridge," "Company," "we," "us," or "our") governing your access to and use of The Bridge platform, website, mobile applications, and all associated services (collectively, the "Service" or "Platform").

1.2 Capacity to Contract

By using this Service, you represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have the legal capacity and authority to enter into a binding contract; (c) all information you provide is accurate, truthful, and complete; (d) you will maintain the accuracy of such information; and (e) your use of the Service does not violate any applicable law, regulation, or obligation to a third party.

1.3 Modifications to Terms

The Company reserves the right, in its sole and absolute discretion, to modify, amend, or update these Terms at any time without prior notice. Material changes will be communicated via email or prominent notice on the Platform. Your continued use of the Service following the posting of any changes constitutes your unconditional acceptance of such changes. If you do not agree to the modified Terms, you must immediately discontinue use of the Service.

2. NATURE OF THE SERVICE

2.1 Platform Description

The Bridge operates as an online marketplace and technology platform that facilitates connections between: (a) families and individuals seeking senior care or assisted living arrangements; (b) healthcare discharge planners and social workers; and (c) senior care facility operators and owners. The Platform provides informational tools, search functionality, communication features, and scheduling capabilities.

2.2 Marketplace Operator Only

CRITICAL DISCLAIMER: THE BRIDGE IS SOLELY A TECHNOLOGY PLATFORM AND MARKETPLACE OPERATOR. THE BRIDGE DOES NOT PROVIDE, AND SHALL NEVER BE CONSTRUED AS PROVIDING: (A) MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT; (B) HEALTHCARE SERVICES OF ANY KIND; (C) SENIOR CARE, ASSISTED LIVING, OR NURSING SERVICES; (D) ENDORSEMENTS OR RECOMMENDATIONS OF ANY FACILITY, PROVIDER, OR CARE ARRANGEMENT; (E) GUARANTEES REGARDING THE QUALITY, SAFETY, SUITABILITY, OR LEGALITY OF ANY FACILITY OR SERVICE; OR (F) PROFESSIONAL HEALTHCARE GUIDANCE OR CONSULTATION.

2.3 No Agency or Partnership

Nothing in these Terms shall be construed to create any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between The Bridge and any User, facility operator, healthcare professional, or third party. Users remain independent parties, and The Bridge does not control, direct, or supervise any care provided by facilities listed on the Platform.

3. USER OBLIGATIONS AND REPRESENTATIONS

3.1 Account Responsibilities

Users are solely responsible for: (a) maintaining the confidentiality of account credentials; (b) all activities occurring under their account; (c) immediately notifying The Bridge of any unauthorized access; and (d) ensuring all account information remains accurate and current. The Bridge shall not be liable for any loss or damage arising from unauthorized account access resulting from User negligence.

3.2 Facility Operator Representations

Facility operators who list on the Platform represent, warrant, and covenant that: (a) they possess all required licenses, permits, and certifications to operate; (b) all information provided is accurate, complete, and not misleading; (c) they will maintain compliance with all applicable federal, state, and local laws and regulations; (d) they have authority to bind their organization to these Terms; and (e) they will respond to inquiries truthfully and in a timely manner.

3.3 User Due Diligence Obligation

ALL USERS ACKNOWLEDGE AND AGREE THAT THEY BEAR THE SOLE RESPONSIBILITY FOR CONDUCTING INDEPENDENT VERIFICATION AND DUE DILIGENCE REGARDING ANY FACILITY, CARE OPTION, OR SERVICE ENCOUNTERED THROUGH THE PLATFORM. Users agree to independently verify: (a) facility licensure and regulatory compliance; (b) quality of care and safety standards; (c) staff qualifications and credentials; (d) pricing accuracy and contract terms; and (e) suitability for specific care needs. THE BRIDGE MAKES NO REPRESENTATIONS REGARDING THE ACCURACY OR COMPLETENESS OF ANY FACILITY INFORMATION.

4. SUBSCRIPTION SERVICES & BILLING

4.1 Subscription Plans

Facility operators who list properties on The Bridge Platform must maintain an active paid subscription. The Bridge offers two subscription plan types:

  • Active Plan ($299/month per facility): Facilities are visible in search results, appear in active bed searches, and receive inquiry leads from families and discharge planners. Includes full profile management, unlimited photos, analytics, and customer support.
  • Dormant Plan ($99/month per facility): Facilities are hidden from public search results and do not receive inquiry leads. Maintains full access to profile management, analytics, unlimited photos, and customer support. Ideal for facilities at full capacity or temporarily not accepting new residents.

By default, new facilities are enrolled in the Active Plan upon creation. Users may toggle between Active and Dormant plans at any time through their facility dashboard.

4.2 Payment Processing

All subscription payments are processed through Stripe, Inc., a third-party payment processor. By subscribing to the Service, you authorize The Bridge and Stripe to charge your designated payment method on a recurring monthly basis. You agree to provide accurate, complete, and current payment information and to update such information promptly if it changes. You are responsible for all charges incurred under your account.

4.3 Billing Cycles

Subscription billing cycles begin on the date you create your first facility and recur monthly on the same calendar day (or the last day of the month if no corresponding day exists). For example, if you create a facility on January 15, you will be billed on the 15th of each subsequent month. Each facility on your account is billed separately based on its current plan status.

4.4 Plan Changes and Proration

Upgrades (Dormant to Active): When you upgrade a facility from Dormant to Active, the change takes effect immediately. You will be charged a prorated amount for the Active plan based on the number of days remaining in your billing cycle. Any unused credit from the Dormant plan will be applied to the Active plan charge.

Downgrades (Active to Dormant): When you downgrade a facility from Active to Dormant, your facility will continue to receive Active plan benefits until the end of your current billing cycle. Starting with the next billing cycle, you will be charged the Dormant plan rate. No refunds or credits are provided for unused time on the Active plan, as you retain full access to Active features through the end of the billing period.

4.5 Promotional Codes

The Bridge may offer promotional codes that provide discounts, free trial periods, or other benefits. Promotional codes: (a) are subject to specific terms and conditions communicated at the time of the offer; (b) may have expiration dates or usage limitations; (c) cannot be combined with other offers unless explicitly stated; (d) are non-transferable and have no cash value; and (e) may be revoked at The Bridge's discretion if obtained fraudulently or used in violation of the offer terms. When a promotional discount expires, you will be charged the regular subscription rate for your plan.

4.6 Price Changes

The Bridge reserves the right to modify subscription pricing at any time. You will receive at least thirty (30) days' advance notice of any price increase via email to the address associated with your account. Price changes will take effect at the start of your next billing cycle following the notice period. Your continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

4.7 Payment Failures

If a payment fails due to insufficient funds, expired payment method, or any other reason: (a) we will attempt to process payment again within 3-5 business days; (b) your account will be marked as "Past Due" and your facilities will be hidden from search results; (c) you will receive email notifications to update your payment method; and (d) if payment is not successfully processed within fifteen (15) days, your account may be suspended or terminated, and all facilities will be removed from the Platform. You remain liable for all unpaid subscription fees.

4.8 Cancellation and Refunds

You may cancel your subscription at any time by deleting all facilities from your account or by contacting customer support. Cancellation takes effect at the end of your current billing cycle. You will retain access to paid features through the end of the billing period for which you have paid. THE BRIDGE DOES NOT PROVIDE REFUNDS OR CREDITS FOR PARTIAL BILLING PERIODS, PROMOTIONAL OFFERS, OR UNUSED SUBSCRIPTION TIME. All subscription fees are non-refundable except as expressly required by applicable law.

4.9 Taxes

Subscription fees do not include applicable federal, state, or local sales, use, value-added, or other taxes or duties. You are responsible for determining and paying all applicable taxes associated with your use of the Service. If The Bridge is legally required to collect or remit taxes for which you are responsible, such taxes will be invoiced to and paid by you.

4.10 Free Trial for First-Time Operators

Eligible first-time facility operators receive a thirty (30) day free trial of the Active Plan upon completing checkout for their first facility. A valid payment method is required at signup but is not charged during the trial.

Your trial converts to a paid subscription, and your designated payment method is charged for the first monthly billing period, on the earlier of: (a) the thirty-day anniversary of trial enrollment; or (b) the moment a discharge planner formally accepts a placement at your facility through the Platform. Once converted, the subscription auto-renews monthly under the Active Plan rate set forth in Section 4.1, subject to the Billing Cycles, Plan Changes, Price Changes, Payment Failures, and Cancellation provisions of Section 4.

No advance reminder notices are sent before trial-end conversion. Stripe-generated payment receipts are issued in the ordinary course following each successful charge. You may cancel before conversion at any time through your account settings, in which case no charge will be assessed and your account will close at the end of the trial.

5. PROHIBITED CONDUCT

Users shall not, directly or indirectly:

  • Violate any applicable law, statute, regulation, or ordinance
  • Infringe upon intellectual property rights of The Bridge or third parties
  • Transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Engage in harassment, discrimination, or intimidation of any User
  • Collect, harvest, or store personal information of other Users without consent
  • Attempt to gain unauthorized access to any systems, data, or networks
  • Introduce viruses, malware, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Service
  • Circumvent, disable, or interfere with security features
  • Use automated means to access the Service without authorization
  • Impersonate any person or entity or misrepresent affiliation
  • Engage in fraudulent or deceptive practices
  • Use the Service for any purpose that is competitive with The Bridge

6. INTELLECTUAL PROPERTY

All content, features, functionality, design elements, trademarks, service marks, trade names, logos, and all other intellectual property rights in and to the Service are and shall remain the exclusive property of The Bridge and its licensors. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. Any unauthorized use, reproduction, modification, distribution, or exploitation of The Bridge's intellectual property is strictly prohibited and may result in civil and criminal liability.

7. DISCLAIMERS OF WARRANTIES

7.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE BRIDGE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE; (C) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT; (D) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; AND (E) WARRANTIES REGARDING THE QUALITY, SAFETY, OR LEGALITY OF ANY FACILITY OR SERVICE.

7.2 THE BRIDGE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR: (A) ANY FACILITY, CARE PROVIDER, OR SERVICE LISTED ON THE PLATFORM; (B) THE ACCURACY OF ANY FACILITY INFORMATION, PRICING, OR AVAILABILITY; (C) THE QUALITY, SAFETY, OR SUITABILITY OF ANY CARE ARRANGEMENT; (D) ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY THIRD PARTIES; (E) ANY TRANSACTION BETWEEN USERS AND FACILITIES; OR (F) THE CONDUCT OF ANY USER OR FACILITY.

7.3 YOU EXPRESSLY ACKNOWLEDGE THAT DECISIONS REGARDING SENIOR CARE AND HEALTHCARE PLACEMENT ARE CRITICAL DECISIONS THAT SHOULD BE MADE WITH THE ASSISTANCE OF QUALIFIED HEALTHCARE PROFESSIONALS, PHYSICIANS, AND LEGAL ADVISORS. THE BRIDGE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL OR LEGAL ADVICE.

8. LIMITATION OF LIABILITY

8.1 EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE BRIDGE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION: (A) LOSS OF PROFITS, REVENUE, OR BUSINESS; (B) LOSS OF DATA OR INFORMATION; (C) LOSS OF GOODWILL; (D) PERSONAL INJURY OR DEATH; (E) EMOTIONAL DISTRESS; (F) PROPERTY DAMAGE; (G) ANY DAMAGES ARISING FROM RELIANCE ON FACILITY INFORMATION; (H) ANY DAMAGES ARISING FROM CARE DECISIONS; OR (I) ANY OTHER INTANGIBLE LOSSES, EVEN IF THE BRIDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 AGGREGATE LIABILITY CAP. NOTWITHSTANDING ANY OTHER PROVISION HEREIN, THE BRIDGE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00); OR (B) THE TOTAL AMOUNT PAID BY YOU TO THE BRIDGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING WITHOUT LIMITATION BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, AND OTHER TORTS.

8.3 Basis of the Bargain. THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. THE BRIDGE WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

8.4 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by applicable law.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless The Bridge, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, actions, demands, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of any third party; (e) any content or information you provide to the Service; (f) any care decision or facility selection made based on information from the Platform; (g) any transaction or interaction with other Users or facilities; or (h) your negligence or willful misconduct. The Bridge reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

10. DISPUTE RESOLUTION AND ARBITRATION

10.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the relationship between you and The Bridge, including the interpretation, validity, performance, breach, or termination thereof, shall be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Los Angeles, California, unless otherwise agreed by the parties.

10.2 Class Action Waiver

IMPORTANT: YOU AND THE BRIDGE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. Unless both you and The Bridge agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative, collective, or class proceeding.

10.3 Waiver of Jury Trial

YOU AND THE BRIDGE HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY ACTION OR LITIGATION IN ANY WAY ARISING OUT OF OR RELATED TO THESE TERMS.

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

11. FORCE MAJEURE

The Bridge shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond The Bridge's reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, labor disputes, utility or communications failures, cyber attacks, or failures of third-party service providers.

12. TERMINATION

The Bridge may, in its sole discretion and without prior notice or liability, suspend or terminate your access to the Service for any reason whatsoever, including without limitation if you breach any provision of these Terms. Upon termination: (a) your right to use the Service immediately ceases; (b) The Bridge may delete your account and any associated data; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.

13. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Subject to the arbitration provisions above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, for any actions not subject to arbitration.

14. MISCELLANEOUS PROVISIONS

14.1 Entire Agreement. These Terms, together with the Privacy Policy, HIPAA Compliance page, and any other policies incorporated by reference, constitute the entire agreement between you and The Bridge regarding the Service.

14.2 Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.3 Waiver. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. The Bridge's failure to enforce any right or provision shall not constitute a waiver.

14.4 Assignment. You may not assign or transfer these Terms without The Bridge's prior written consent. The Bridge may freely assign these Terms without restriction.

14.5 Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.

Acknowledgment: BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS CONSTITUTE A COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND THE BRIDGE, AND THAT THESE TERMS SUPERSEDE ANY PRIOR AGREEMENTS OR REPRESENTATIONS.
